Terms of Service
Please read these terms carefully. By using Flowwixa's services, you agree to be bound by these terms. If you do not agree, please do not use our services.
Welcome to Flowwixa! These Terms of Service ("Terms") govern your use of Flowwixa's white-glove automation service platform. By signing up or using our services, you agree to these Terms. If you are using Flowwixa on behalf of a company, you represent that you have authority to bind that company to these Terms.
1. Acceptance of Terms
By accessing or using Flowwixa's services, you agree to comply with and be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree, you must immediately discontinue use of the service.
2. Description of Service
Flowwixa provides a white-glove automation service that includes:
- Consultation: Understanding your business processes and automation needs
- Design: Architecting custom automation workflows tailored to your requirements
- Implementation: Building, testing, and deploying automations on platforms like Make.com and Zapier
- Monitoring & Support: Ongoing monitoring, maintenance, and optimization of your automations
Our service is subscription-based with tiered plans based on the number of workflows and level of support.
3. Acceptable Use Policy
You agree NOT to use Flowwixa's services to:
❌ Violate Laws or Regulations
Including spam laws (CAN-SPAM, GDPR), data protection regulations, or intellectual property rights
❌ Send Unsolicited Bulk Communications
No spamming, phishing, or mass unsolicited emails/messages
❌ Scrape or Harvest Data Illegally
Violating websites' Terms of Service or robots.txt policies
❌ Engage in Malicious Activities
Including hacking, distributing malware, or DDoS attacks
❌ Process Illegal Content
Including child exploitation material, terrorist content, or other illegal material
❌ Resell or Sublicense Services
Without explicit written permission from Flowwixa
Violation may result in immediate suspension or termination of your account without refund.
4. Fees & Payment Terms
Subscription Plans
Payment Terms:
- Billing Cycle: Subscriptions billed monthly or annually in advance
- Setup Fee: One-time $99 setup fee for all new accounts (waived for annual plans)
- Auto-Renewal: Subscriptions auto-renew unless cancelled at least 7 days before renewal
- Late Payments: Accounts with payments overdue by 15+ days may be suspended
- Price Changes: We may change pricing with 30 days' notice. Existing customers grandfathered at current rate for 12 months
- Taxes: Prices exclude applicable sales tax, VAT, or GST (added at checkout)
5. Service Level Agreement (SLA)
Uptime Guarantee: We guarantee 99.5% uptime for automation execution (measured monthly).
Service Credits: If uptime falls below 99.5%, you're eligible for service credits:
- • 98.0% - 99.4% uptime: 10% credit
- • 95.0% - 97.9% uptime: 25% credit
- • Below 95.0% uptime: 50% credit
Exclusions: Downtime caused by third-party platforms (Make.com, Zapier, connected apps), scheduled maintenance (with 48-hour notice), or force majeure events.
6. Refund Policy
30-Day Money-Back Guarantee: New customers can request a full refund within 30 days of their first payment.
Mid-Cycle Cancellations: If you cancel mid-month, you'll retain access until the end of your billing period. No prorated refunds for partial months.
Annual Plans: Annual plans are non-refundable after 30 days, but you may downgrade at renewal.
7. Your Responsibilities
As a Flowwixa customer, you are responsible for:
- Providing Accurate Information: Business requirements, API credentials, integration details
- Securing Your Account: Maintaining strong passwords, enabling MFA, restricting access
- Compliance: Ensuring your use of automations complies with all applicable laws (GDPR, CAN-SPAM, etc.)
- License Compliance: Maintaining valid licenses for third-party tools (CRM, email platforms, etc.)
- Data Accuracy: Ensuring data processed through automations is accurate and up-to-date
8. Intellectual Property
Your Data: You retain full ownership of all data processed through Flowwixa.
Automation Workflows: Flowwixa retains intellectual property rights to the automation logic, templates, and methodologies. However, you have a perpetual, non-exclusive license to use automations built specifically for your account during your subscription.
Flowwixa Platform: All platform code, branding, design, and documentation remain the property of Flowwixa Inc.
9. Disclaimers & Limitation of Liability
Service "As Is": Flowwixa is provided "as is" without warranties of any kind, express or implied. We do not guarantee error-free or uninterrupted service.
Third-Party Dependencies: We rely on third-party platforms (Make.com, Zapier, AWS, connected apps). We are not liable for their downtime or service issues.
Liability Cap: Our total liability for any claim will not exceed the fees you paid in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.
10. Termination
By You: Cancel anytime via your account dashboard or by contacting support.
By Flowwixa: We may suspend or terminate your account for:
- Violation of Acceptable Use Policy
- Non-payment for 15+ days
- Fraudulent activity or chargebacks
- Any conduct that harms Flowwixa or other customers
Effect of Termination: Upon termination, your access ends immediately. We'll provide a 14-day window to export your data (automation configurations, logs). After 30 days, all data is permanently deleted.
11. Dispute Resolution & Governing Law
Governing Law: These Terms are governed by the laws of the State of California, USA, without regard to conflict of law provisions.
Arbitration: Any disputes will be resolved through binding arbitration in San Francisco, California, under the rules of the American Arbitration Association (AAA). You waive the right to a jury trial or class action.
Exceptions: Either party may seek injunctive relief in court for intellectual property violations or breach of confidentiality.
12. Changes to Terms
We may update these Terms from time to time. Material changes will be notified via email at least 30 days before they take effect. Continued use after changes constitutes acceptance. If you disagree, you may cancel your account.
